Guardian Micro Life Insurance Calls Second AGM on March 24

Kathmandu – Guardian Micro Life Insurance Limited has announced its second annual general meeting (AGM) on Monday, March 24. The company’s board of directors, in a meeting held on February 27, decided to conduct the AGM at Hotel Airport in Biratnagar from 11 AM.
A key agenda of the meeting includes passing a special resolution to authorize the board of directors to take necessary actions for a potential merger with other suitable insurance companies and to increase the company’s capital. Additionally, amendments to the company’s charter and regulations will be discussed.
The AGM will also deliberate on the financial statements, including the annual report of the last fiscal year, appoint an auditor and determine their remuneration for the current year, elect two directors, set directors’ allowances and facilities, and approve related expenses.
For the purpose of the AGM, the company has announced a book closure on March 10. Only shareholders holding shares until March 9 will be eligible to participate in the meeting.
