Sanima GIC Insurance to Hold 7th AGM, Proposes Bonus Shares and Dividends

Kathmandu – Sanima GIC Insurance Limited has scheduled its seventh annual general meeting (AGM) for April 3 at Amritbhog, Kalikasthan, Kathmandu. The meeting will begin at 11 a.m., following a decision made by the company’s board of directors during a meeting on 10th March.

The AGM will consider a proposal to distribute 7.5 percent bonus shares and a 0.3947 percent cash dividend (for tax purposes) based on the company’s current paid-up capital. The board of directors will also seek authorization to revise the proposed issuance of 25 percent right shares and instead issue 17 percent right shares.

Other key agenda items include the approval of expenses incurred during the last fiscal year, revision of the board of directors’ meeting allowance, and amendments to the company’s charter and regulations. The AGM will also address the approval of the financial statements for the last fiscal year and propose the appointment of an auditor for the current year, including the determination of remuneration.

The company has announced its book closure on March 21 for the purposes of the meeting and dividend distribution. Only permanent shareholders listed until March 20 will be eligible to participate in the meeting and receive dividends.
