Guardian Micro Life Holds Second AGM, Approves Merger Proposal

Kathmandu — Guardian Micro Life Insurance Limited successfully concluded its second annual general meeting (AGM) today at Hotel Airport in Biratnagar.

The meeting approved a special resolution authorizing the board of directors to initiate necessary procedures for merging with other suitable insurance companies and increasing the company’s capital. Amendments to the company’s memorandum of association and regulations were also approved.

Shareholders discussed and passed the annual report and financial statements for the last fiscal year. The meeting also resolved to appoint an auditor for the current fiscal year, determine the auditor’s remuneration, elect two directors, set the allowances and facilities for directors, and approve related expenses.

The company had closed its books on Falgun 26 (March 10) for the purpose of the AGM.
