National Life Insurance Announces Date for 37th AGM, Proposes 15% Dividend

Kathmandu A— National Life Insurance Company Limited has announced that its 37th Annual General Meeting (AGM) will take place on Ashar 5 (June 19) at 10:30 AM at the company’s central office in Lazimpat, Kathmandu.
The meeting will deliberate on key financial and structural agendas, including a proposal to distribute a 10 percent cash dividend and 5 percent bonus shares based on the company’s current paid-up capital of Rs. 5.21 billion. The company has also proposed adjusting an additional 0.789473 percent in cash to cover the dividend tax liabilities.
The AGM will also review and endorse the annual report, auditor’s report, and financial statements for the previous fiscal year. Additionally, the meeting will appoint a new auditor for the current fiscal year and finalize their remuneration.
Among other proposals, shareholders will vote on increasing the company’s paid-up capital, approving expenditures incurred in the last fiscal year, and authorizing the board of directors to amend the company’s memorandum of association and regulations as needed.
The election of new board members is also on the agenda. The company will elect three directors from the promoter shareholders’ group (Class A) and two directors from the general public shareholders’ group (Group B).
For the purpose of the AGM and dividend eligibility, only those shareholders recorded with the Nepal Stock Exchange (NEPSE) by Jestha 21 (June 4) will be eligible to attend the meeting and claim the declared dividends.
