United Ajod Insurance Concludes 31st AGM, Approves Dividend and Capital Plans

Kathmandu – United Ajod Insurance Limited has successfully concluded its 31st Annual General Meeting (AGM) at Amrapali Banquet Catering and Event Pvt. Ltd., Bhatbhateni, Kathmandu.

The AGM approved a proposal to distribute 10 percent bonus shares worth Rs. 210 million and a 0.5263 percent cash dividend, amounting to Rs. 11.52 million, based on the existing paid-up capital of Rs. 2.1 billion.

In compliance with the Nepal Insurance Authority’s directive to raise paid-up capital to Rs. 2.5 billion, the company had earlier proposed issuing 15 percent rights shares. However, with the paid-up capital set to increase after the bonus share distribution, the AGM approved a revised plan to issue 10 percent rights shares—equivalent to 10 units per 100 shares.

The meeting also endorsed the appointment of an auditor for the current fiscal year, approved the annual report and financial statements, and ratified the appointment of directors. Additionally, amendments related to directors’ remuneration and provisions in the company’s memorandum and regulations were passed, authorizing the board to make necessary changes.
