Kathmandu – Today marks the last day for shareholders of Asian Life Insurance Company Limited to secure eligibility for the company’s proposed dividend and participate in its upcoming Annual General Meeting (AGM).

The company will close its books tomorrow, Ashar 20 (July 3), for dividend distribution and AGM proceedings. Accordingly, only shareholders who have purchased shares of the company on the Nepal Stock Exchange (NEPSE) by today will be entitled to receive the declared dividend and attend the meeting.

Following a decision by the Board of Directors, the company has proposed a 5.10 percent bonus share distribution amounting to Rs. 173.391 million and a 0.2684 percent cash dividend (including tax) equivalent to Rs. 9.125 million. The total distribution—drawn from the accumulated profits of the last fiscal year—is based on the company’s current paid-up capital of Rs. 3.39 billion.

To ratify the dividend proposal and address other agenda items, Asian Life Insurance has called its 17th Annual General Meeting on Monday, Ashar 30 (July 14), at 1:00 PM at Hotel Ichcha, located in Simara, Bara.

The AGM will also review and approve the company’s annual report, auditor’s report, and financial statements for the last fiscal year. In addition, it will appoint an auditor for the current fiscal year and finalize the auditor’s remuneration.

Key items on the meeting’s agenda include the election of six directors: three from the founding shareholders (Group A), two from the general shareholders (Group B), and one independent director.

Furthermore, the meeting will authorize the Board to make necessary amendments to the company’s Memorandum of Association and Articles of Association in line with the increased capital post-bonus share distribution and as per directives issued by the regulatory authority.
