Himalayan Life Insurance Calls for 18th AGM; Proposes 8% Cash Dividend

Kathmandu — Himalayan Life Insurance Limited has announced the date for its 18th Annual General Meeting (AGM), scheduled to be held on Ashar 10, 2082 (June 24, 2025). The decision was made during a board meeting held recently.

The  AGM will take place at 10:30 AM at Amrapali Banquet, Naxal. According to the company, a proposal to distribute an 8 percent cash dividend (including tax) from the paid-up capital of Rs. 9.14 billion will be presented during the meeting. The dividend is set to be drawn from the company’s accumulated profit from the last fiscal year.

The shareholders will also be asked to approve the annual financial statement and auditor’s report for the previous fiscal year. Additionally, the appointment of an auditor for the current fiscal year and the determination of their remuneration will be on the agenda.

Another key proposal includes granting authority  to the board of directors to make necessary amendments to the company’s memorandum of association and articles of association. The meeting will also seek approval for the expenses incurred in the previous fiscal year.

For the purpose of dividend distribution and participation in the AGM, the company will close its shareholder register for one day on Jestha 28 (June 11). Only shareholders listed in the NEPSE records by the end of Jestha 27 (June 10) will be eligible to attend the meeting and claim the announced dividend.
