Himalayan Life Insurance to Hold 17th AGM on February 23

Kathmandu – Himalayan Life Insurance Limited has announced its 17th Annual General Meeting (AGM), scheduled for February 23 at 10:30 AM. The meeting will take place at Anupam Foodland & Banquet, Battisputali, Kathmandu.

Key proposals on the agenda include the distribution of 14 percent bonus shares, inclusive of tax, based on the company’s paid-up capital. Additionally, a proposal to amend the company’s memorandum and articles of association in line with the increased capital after the bonus share distribution will be tabled for approval.

The AGM will also discuss and approve the company’s financial statements, including the annual report for the last fiscal year. The appointment of an auditor and determination of remuneration for the current fiscal year will also be finalized. A proposal to endorse expenses incurred during the fiscal year 2079/80 is part of the meeting agenda.

For the purpose of the AGM and dividend distribution, the company has announced a book closure on February 7. Shareholders owning shares until February 6 will be eligible to participate in the meeting and claim dividends.
